Acceptance of Terms
By accessing, registering for, or using oZone Desk (operated by oZoneDesk (Pvt) Ltd, a company incorporated in Sri Lanka), you enter into a legally binding agreement with us under these Terms of Use ("Terms").
These Terms apply to all visitors, registered users, and businesses that access or use any part of the Platform, including our website at ozonedesk.com, our web and mobile applications, and any related services or APIs.
Your continued use of the Platform after any updates to these Terms constitutes your acceptance of those changes. We encourage you to review this page periodically.

Definitions
For the purposes of these Terms, the following definitions apply:
"oZone Desk" or "we" or "us" refers to oZoneDesk (Pvt) Ltd and its affiliates, officers, employees, and agents.
"Platform" refers to the oZone Desk software, web application, mobile application, APIs, and all associated services and content.
"User" or "you" refers to any individual or legal entity that registers for or accesses the Platform.
"Account" means the registered profile created by a User to access the Platform.
"Business Data" means any data, content, or information you input into or generate through the Platform, including customer records, inventory data, transaction history, and employee information.
"Subscription" means a paid plan that grants access to one or more modules of the Platform for a defined billing period.

Eligibility
To use the Platform, you must meet the following eligibility requirements:
You must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater.
If you are registering on behalf of a business or legal entity, you must have the authority to bind that entity to these Terms.
You must not be prohibited from using the Platform under any applicable law, regulation, or court order.
You must provide accurate, complete, and up-to-date information during registration and keep it updated at all times.
We reserve the right to refuse access to or terminate accounts that do not meet our eligibility requirements, at our sole discretion and without prior notice.

Account Registration
To access the full features of the Platform, you must create an Account by completing the registration process. By doing so, you agree to the following:
Account Security
You are responsible for maintaining the confidentiality of your login credentials, including your password.
You must not share your Account credentials with any third party outside of authorised users within your organisation.
You must notify us immediately at [email protected] if you suspect any unauthorised access to your Account.
Account Accuracy
You agree to provide accurate and truthful information during registration and throughout your use of the Platform.
You are responsible for all activity that occurs under your Account, whether or not you authorised it.
oZone Desk will not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

Subscription & Billing
Access to the Platform's paid features is provided through a Subscription. The following terms govern your Subscription:
Billing Cycle
Subscriptions are billed on a monthly or annual basis depending on the plan you select at checkout.
Your Subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.
We will notify you of any upcoming renewal via email at least 7 days in advance.
Fees & Payment
All fees are quoted in the currency displayed at checkout and are exclusive of applicable taxes unless stated otherwise.
Payment is due at the start of each billing cycle. Failure to pay may result in suspension or termination of your Account.
We accept payment via the methods listed on our pricing page, which may include credit/debit cards and local payment gateways.
Refunds & Cancellation
You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We do not offer refunds for partial billing periods except where required by applicable law or at our sole discretion in exceptional circumstances.
There are no cancellation penalties or lock-in contracts. You may upgrade or downgrade your plan at any time.
We reserve the right to adjust our pricing at any time. If we increase the price of your Subscription, we will notify you at least 30 days in advance. Your continued use of the Platform after the price change takes effect constitutes your acceptance of the new pricing.

Permitted Use
Subject to these Terms and payment of applicable fees, oZone Desk grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your own lawful internal business purposes.
Permitted use includes:
Managing your business inventory, orders, customers, employees, and suppliers through the Platform's modules.
Creating, storing, and exporting your Business Data in accordance with your Subscription plan.
Integrating the Platform with authorised third-party services and payment providers as supported by oZone Desk.
Granting access to authorised members of your organisation in accordance with your plan's user limits.
Using the Platform's APIs for internal integration purposes, subject to our API documentation and rate limits.

Prohibited Use
You agree not to use the Platform for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. The following activities are strictly prohibited:
Attempting to gain unauthorised access to any part of the Platform, our servers, or any connected systems or networks.
Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform.
Reselling, sublicensing, or otherwise making the Platform available to third parties without our prior written consent.
Uploading or transmitting any viruses, malware, or other malicious code through the Platform.
Using the Platform to store or transmit material that is defamatory, obscene, fraudulent, or in violation of any law or third-party rights.
Circumventing or disabling any security, access control, or rate-limiting features of the Platform.
Using automated tools, bots, or scrapers to access, extract, or index the Platform's content without our express permission.
Impersonating any person or entity, or misrepresenting your affiliation with any person or organisation.
Violation of these prohibited use terms may result in immediate suspension or permanent termination of your Account, without refund, and may expose you to legal liability. We reserve the right to report violations to relevant law enforcement authorities.

Intellectual Property
The Platform, including all software, code, design, trademarks, logos, text, graphics, interfaces, and documentation, is the exclusive property of oZoneDesk (Pvt) Ltd and is protected by applicable intellectual property laws.
Our Rights
All rights, title, and interest in and to the Platform remain with oZone Desk. Nothing in these Terms transfers any ownership rights to you.
The "oZone Desk" name, logo, and product names are trademarks of oZoneDesk (Pvt) Ltd. You may not use our trademarks without our prior written permission.
Your Rights over Business Data
You retain full ownership of all Business Data you input into the Platform. oZone Desk does not claim any ownership rights over your data.
You grant us a limited licence to process, store, and use your Business Data solely for the purpose of providing the Platform's services to you.
You may export your Business Data at any time from your account settings. Upon termination, we will provide you with a data export for a period of 30 days before permanent deletion.

Data & Privacy
Your privacy is important to us. Our collection, use, and handling of your personal data and Business Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you consent to the collection and use of information as described in our Privacy Policy. Key points include:
We process your data on secure cloud infrastructure with enterprise-grade SSL encryption.
Your Business Data is backed up automatically on a daily basis and is never sold to third parties.
We are committed to GDPR-compliant data handling practices. Users in applicable jurisdictions have the right to access, correct, export, and delete their personal data.
We may use aggregated and anonymised data derived from Platform usage for product improvement, analytics, and research purposes.

Warranties & Limitation of Liability
Platform Availability
We strive to maintain 99.9% platform uptime. However, the Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities at all times.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, oZone Desk disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will meet all of your specific business requirements in all circumstances.
Limitation of Liability
To the maximum extent permitted by law, oZone Desk shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to oZone Desk in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Termination
Either party may terminate the agreement formed by these Terms at any time, subject to the following conditions:
Termination by You
You may cancel your Subscription and close your Account at any time through your account settings. Cancellation takes effect at the end of your current billing period.
Upon cancellation, you will retain access to the Platform until the end of your paid period.
Termination by oZone Desk
We may suspend or terminate your Account immediately, without notice or refund, if you breach any provision of these Terms.
We may also terminate your Account with 30 days' notice if we decide to discontinue the Platform or any part of it.
We may suspend your Account without notice if we believe your use of the Platform poses a security risk to us or other users.
Effect of Termination
Upon termination, your licence to use the Platform ends immediately.
Your Business Data will be available for export for 30 days following termination, after which it will be permanently deleted from our servers.
Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, and limitations of liability — will continue to apply.

Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.
Dispute Resolution
In the event of any dispute arising from or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
Notwithstanding the above, oZone Desk reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
If you are accessing the Platform from outside Sri Lanka, you are responsible for compliance with all applicable local laws and regulations in your jurisdiction.

Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will:
Update the "Last Updated" date at the top of this page.
Notify registered users via email at least 14 days before the changes take effect.
Display a notice on the Platform dashboard when you next log in.
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and cancel your Subscription before the changes take effect.
We encourage you to review these Terms periodically. The most current version will always be available at ozonedesk.com/terms.
